1. Acceptance of Terms

By accessing the website at arkanops.com or engaging our services, you agree to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws.

2. Services Description

ArkanOps provides software engineering, DevOps automation, cloud architecture, and consulting services. Specific deliverables, timelines, and costs for engineering projects are defined in separate Statements of Work (SOW) or Master Services Agreements (MSA). In the event of a conflict between these Terms and an MSA, the MSA shall control.

3. Intellectual Property

Unless otherwise agreed in a specific SOW:

  • Client IP: You retain full ownership of all code, data, diagrams, and intellectual property you provide to us.
  • Deliverables: Upon full payment of agreed fees, ArkanOps assigns ownership of custom code, infrastructure configuration (IaC), and documentation created specifically for you to your organization.
  • ArkanOps IP: We retain ownership of our pre-existing tools, libraries, scripts, and methodologies used to deliver the service, granting you a perpetual, non-exclusive license to use them within your project.

4. Confidentiality

We adhere to strict confidentiality regarding your proprietary information, architecture, and code. We are willing to sign a Non-Disclosure Agreement (NDA) prior to discussing specific project details. We will not disclose your confidential information to any third party without your prior written consent.

5. Limitation of Liability

In no event shall ArkanOps or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on ArkanOps' website or services, even if ArkanOps has been notified orally or in writing of the possibility of such damage. We do not guarantee 100% uptime for any system, as cloud provider outages are beyond our control.

6. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the State of New York and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
